VivaUnit Terms of Service

Welcome to VivaUnit. These Terms of Service ("Terms") govern your access to and use of the VivaUnit platform, including our websites, applications, and services (collectively, the "Service"), provided by VivaUnit LLC ("VivaUnit," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. The Service
VivaUnit provides a Software-as-a-Service (SaaS) platform that offers businesses and entrepreneurs a suite of tools for customer relationship management (CRM), marketing, automation, communication, and other business solutions.
2. Account Registration and Eligibility
Eligibility: You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you are of legal age.
Account Information: You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Account Responsibility: You are solely responsible for all data, content, and information you input, upload, or process through your account ("User Content").
3. Subscriptions and Payments
Fees: The Service is offered on a recurring subscription basis (e.g., monthly or annually). You agree to pay all applicable fees for your chosen subscription plan.
Billing and Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle. You authorize us (through our third-party payment processor, e.g., Stripe) to charge your designated payment method for the applicable subscription fees.
Price Changes: We reserve the right to change our subscription fees. We will provide you with at least thirty (30) days' notice of any price changes before they become effective.
Taxes: All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your subscription, such as sales tax or VAT.
4. Cancellation and Refund Policy
Cancellation: You may cancel your subscription at any time through your account settings. Your access to the Service will continue until the end of your current billing period.
No Refund Policy: Payments are non-refundable. No refunds or credits will be provided for partially used periods or for any reason once a payment is processed. Please refer to our full Refund Policy for more details.
5. License to Use the Service
License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes.
Restrictions: You may not:
- Resell, lease, or sublicense the Service without our express written consent.
- Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.
- Use the Service for any illegal, fraudulent, or prohibited purpose.
6. User Content and Acceptable Use
Ownership: You retain all ownership rights to your User Content.
License to Us: You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, and use your User Content solely to the extent necessary to provide, operate, and maintain the Service.
Acceptable Use: You agree not to use the Service to transmit spam, harass others, infringe on intellectual property rights, or distribute malicious or unlawful content.
7. Termination
We reserve the right to suspend or terminate your access to the Service at our sole discretion, without prior notice, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIVAUNIT LLC, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware to resolve any dispute arising out of these Terms or the Service.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our site or by sending you an email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

1. الخدمة

2. الأهلية وتسجيل الحساب

3. الاشتراكات والمدفوعات
الرسوم: تُقدم الخدمة على أساس اشتراك متكرر (شهري أو سنوي). أنت توافق على دفع جميع الرسوم المطبقة على خطة اشتراكك المختارة.
الفواتير والتجديد التلقائي: سيتم تجديد اشتراكك تلقائيًا في نهاية كل دورة فوترة. أنت تفوضنا (من خلال معالج الدفع التابع لجهة خارجية، مثل Stripe) بتحصيل رسوم الاشتراك المطبقة من طريقة الدفع المحددة الخاصة بك.
تغيير الأسعار: نحتفظ بالحق في تغيير رسوم اشتراكنا. سنزودك بإشعار لا يقل عن ثلاثين (30) يومًا بأي تغييرات في الأسعار قبل أن تصبح سارية المفعول.
الضرائب: جميع الرسوم لا تشمل الضرائب المطبقة. أنت مسؤول عن دفع جميع الضرائب المرتبطة باشتراكك، مثل ضريبة المبيعات أو ضريبة القيمة المضافة.
4. سياسة الإلغاء والاسترداد
الإلغاء: يمكنك إلغاء اشتراكك في أي وقت من خلال إعدادات حسابك. سيستمر وصولك إلى الخدمة حتى نهاية فترة الفوترة الحالية.

5. رخصة استخدام الخدمة
منح الرخصة: مع مراعاة امتثالك لهذه الشروط، نمنحك رخصة محدودة وغير حصرية وغير قابلة للتحويل وقابلة للإلغاء للوصول إلى الخدمة واستخدامها لأغراض عملك الداخلية.
القيود: لا يجوز لك:
- إعادة بيع الخدمة أو تأجيرها أو ترخيصها من الباطن دون موافقتنا الكتابية الصريحة.
- إجراء هندسة عكسية أو تفكيك أو محاولة اكتشاف الكود المصدري للخدمة.

6. محتوى المستخدم والاستخدام المقبول
الملكية: أنت تحتفظ بجميع حقوق الملكية لمحتوى المستخدم الخاص بك.
ترخيص لنا: أنت تمنحنا ترخيصًا عالميًا وغير حصري وخاليًا من حقوق الملكية لاستضافة وتخزين ونسخ واستخدام محتوى المستخدم الخاص بك فقط بالقدر اللازم لتقديم الخدمة وتشغيلها وصيانتها.
الاستخدام المقبول: أنت توافق على عدم استخدام الخدمة لإرسال بريد عشوائي (Spam )، أو مضايقة الآخرين، أو انتهاك حقوق الملكية الفكرية، أو توزيع محتوى ضار أو غير قانوني.
7. الإنهاء
نحتفظ بالحق في تعليق أو إنهاء وصولك إلى الخدمة وفقًا لتقديرنا الخاص، دون إشعار مسبق، لأي سبب، بما في ذلك على سبيل المثال لا الحصر، خرق هذه الشروط. عند الإنهاء، سينتهي حقك في استخدام الخدمة على الفور.

10. القانون الحاكم والاختصاص القضائي

11. التعديلات على الشروط
